Terms of Service

By accessing or using Backstop Kit at backstopkit.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Backstop Kit ("we", "us", "our"), operated by Backstop Kit, Queensland, Australia.

Backstop Kit is a SaaS platform that helps freelancers manage project scope, detect scope creep, analyse client requests using artificial intelligence, and generate professional change order documents.

You must be at least 18 years of age to use Backstop Kit. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4.1 Account Creation To use Backstop Kit you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. 4.2 Account Security You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at privacy@backstopkit.com if you become aware of any unauthorised access to your account. 4.3 One Account Per User Each account is for a single user. You may not share your account credentials with others.

5.1 Permitted Use You may use Backstop Kit solely for lawful business purposes in connection with managing freelance projects and client relationships. 5.2 Prohibited Use You agree not to: • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations • Upload or transmit content that is defamatory, fraudulent, obscene, or otherwise objectionable • Attempt to gain unauthorised access to any part of the Service or its related systems • Use the Service to send unsolicited communications (spam) • Reverse engineer, decompile, or attempt to extract the source code of the Service • Use the Service in any way that could damage, disable, or impair its functionality • Upload content containing malware, viruses, or other malicious code • Misrepresent your identity or affiliation in any way

6.1 Ownership You retain full ownership of all content you upload or create within Backstop Kit, including project data, deliverables, scope requests, change orders, and uploaded documents ("Your Content"). 6.2 Licence to Us By using the Service, you grant Backstop Kit a limited, non-exclusive licence to store, process, and transmit Your Content solely as necessary to provide the Service to you. We do not use Your Content for any other purpose. 6.3 Your Responsibility You are solely responsible for Your Content and for ensuring that it does not violate any third-party rights or applicable laws. 6.4 AI Processing When you use AI features, Your Content is processed by Anthropic's API. Your Content is not used to train AI models.

7.1 Free Trial New accounts are eligible for a 7-day free trial. A valid payment method is required to start a trial. Your subscription begins automatically at the end of the trial unless you cancel before it expires. 7.2 Subscription Plans Backstop Kit offers Essential and Premium subscription plans, billed monthly or annually. Current pricing is available at backstopkit.com. We reserve the right to change pricing with 30 days notice to existing subscribers. 7.3 Payment All payments are processed securely by Stripe. By providing a payment method, you authorise us to charge the applicable subscription fee on a recurring basis until you cancel. 7.4 Cancellation You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. 7.5 Refunds If you are unsatisfied within your first 30 days of a paid subscription, contact us at privacy@backstopkit.com and we will consider a refund on a case-by-case basis.

8.1 Our Property Backstop Kit, including its software, design, branding, and content (excluding Your Content), is owned by Backstop Kit and protected by applicable intellectual property laws. 8.2 Feedback If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or compensation to you.

Backstop Kit integrates with third-party services including Clerk, Supabase, Anthropic, Resend, Sentry, Vercel, and Stripe. Your use of these services through Backstop Kit is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any errors or defects will be corrected. AI-GENERATED CHANGE ORDERS AND SCOPE ANALYSES ARE PROVIDED AS PROFESSIONAL TOOLS TO ASSIST YOUR BUSINESS DECISIONS. THEY ARE NOT LEGAL ADVICE. YOU ARE RESPONSIBLE FOR REVIEWING ALL AI-GENERATED CONTENT BEFORE SENDING IT TO CLIENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BACKSTOP KIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.

You agree to indemnify and hold harmless Backstop Kit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may suspend or discontinue the Service or any feature at any time, with reasonable notice where practicable.

14.1 By You You may terminate your account at any time by deleting your account from within the Service or by contacting us at privacy@backstopkit.com. 14.2 By Us We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in fraudulent activity. We will provide notice where practicable. 14.3 Effect of Termination Upon termination, your right to use the Service ceases immediately. Your Content will be deleted in accordance with our Privacy Policy.

These Terms are governed by the laws of Queensland, Australia. 15.1 Informal Resolution Before initiating any formal dispute process, you agree to contact us at privacy@backstopkit.com to attempt to resolve the dispute informally within 30 days. 15.2 Mediation If a dispute cannot be resolved informally, both parties agree to attempt resolution through mediation in Queensland, Australia under the mediation rules of the Resolution Institute (resolutioninstitute.org.au). 15.3 Litigation If mediation fails, either party may pursue their legal remedies in the courts of Queensland, Australia, except where mandatory consumer protection laws in your jurisdiction provide otherwise. 15.4 EU and UK Users If you are located in the EU or UK, you may also have rights under local consumer protection legislation that cannot be excluded by this clause.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice within the app at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Backstop Kit regarding your use of the Service.
